Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ContentKilla (the “Service”), operated by ContentKilla (also doing business as Value Vault, “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ContentKilla is an AI-powered platform that helps you plan, generate, and schedule social media content, optionally auto-publish it to connected third-party platforms, and send or receive related text messages. The Service may evolve over time.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Provide accurate information and keep it current.

3. Subscriptions, tokens & billing

Paid plans are billed on a recurring basis through our payment processor (Stripe) until cancelled. Some features consume usage credits (“tokens”). Fees, token grants, and plan limits are described at checkout and on our pricing page. Except where required by law, payments are non-refundable. You can cancel anytime; your plan remains active through the end of the current billing period.

4. AI-generated content

The Service uses AI models to generate captions, scripts, images, and other content based on your inputs and brand profile. AI output can be inaccurate, generic, or unsuitable. You are responsible for reviewing, editing, and approving all content before it is published or sent. We do not guarantee any particular result, reach, or engagement.

As between you and us, you retain ownership of the content you create and publish, and you grant us the limited rights needed to operate the Service (e.g., to generate, store, and deliver that content on your behalf).

5. Auto-posting & third-party platforms

You may connect third-party accounts (such as Instagram, TikTok, X, LinkedIn, Facebook, Threads, and Google Business Profile) so the Service can publish on your behalf, including through providers like Ayrshare. We are not affiliated with or endorsed by those platforms. Your use of each platform remains subject to that platform’s own terms, and you are responsible for complying with them. We are not responsible for platform outages, rejected posts, or changes to their APIs.

6. Acceptable use

You agree not to use the Service to:

  • break the law or any third-party platform’s rules;
  • send spam or unlawful, deceptive, infringing, or harmful content;
  • impersonate others or misrepresent your affiliation;
  • infringe intellectual property or privacy rights; or
  • interfere with, reverse-engineer, or abuse the Service or its infrastructure.

7. SMS messaging

If you provide a mobile number and opt in, you may receive recurring automated text messages from us. Messaging is governed by our SMS & Messaging Terms. Consent to texts is not a condition of purchase.

8. Intellectual property

The Service itself — including our software, branding, and design — is owned by us and protected by law. These Terms do not grant you any right to our trademarks or to copy or resell the Service.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or fit for your purpose.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your content, your use of the Service, or your violation of these Terms or any third-party rights or platform rules.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Continued use after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Ohio, USA, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Ohio, unless otherwise required by law.
